Consulting to private equity: how consultants make the move

Consultants move into private equity as pre-MBA associates after a few years at a strategy firm, usually through headhunters such as CPI, which says it finds candidates at 50+ investment banks and consulting firms. EQT says many of its associates come from consulting and asks for 1 to 4 years in a rigorous, analytical job. The gap to close is the buyout math: expect a paper LBO, a modeling test and a case on whether to buy a company, plus questions on the diligence you did as a consultant. The interviews are spoken. Soreno, an AI voice interview practice app for consulting, investment banking and other finance candidates, runs private equity interview questions out loud with follow-ups and scored feedback.

Updated

  • Firms say it plainly. EQT names consulting among the backgrounds its associates come from.
  • Headhunters run the search. CPI, Henkel and Oxbridge recruit pre-MBA associates, and CPI and Henkel name consulting.
  • Diligence is your edge. Bain, BCG and L.E.K. all sell commercial due diligence to PE firms.
  • The LBO is your gap. Paper LBO, modeling test and case study come up on every route.
  • Talk like an investor. End each project story on whether you would have bought the company.

Why PE firms hire consultants, in their own words

What private equity firms and headhunters say on their own careers and services pages, read October 27, 2026. Where a firm doesn't say something, we leave it out.

What PE firms say they want4 firms
  1. EQT

    Consulting is a named background

EQT says many of its associates come from investment banking, consulting, engineering or other analytical fields, and that how you think matters most. It asks for 1 to 4 years in a rigorous, analytical environment and comfort with financial models and data.

  2. EQT, the job

Real deal work from day one

Associates build financial models, synthesize market and sector insights and support value creation, across sourcing, due diligence, execution and ownership. New associates get a Financial Modelling training program.

  3. General Atlantic

    A two-year associate program

Its US and UK Associate Program is a structured two years, evaluating early stage, late stage, leveraged buyout and public companies. Outside the US it looks for associates with around 3 to 5 years of experience, hired as roles open.

  4. General Atlantic, after the deal

Value creation is a team too

Its Value Creation team creates and consults on custom solutions for portfolio companies, working with deal teams and company management. Full-time MBAs join as Vice Presidents.

  5. KKR and Apollo

Deal exposure and an owner's mindset

KKR's student programs promise deal exposure and analytical projects, with a 10-week US summer internship. Apollo lists Clean Sheet Thinking and a Principal Mindset among its principles.

How headhunters find consultants3 search firms
  1. CPI

    Banks and consulting firms

CPI says it identifies junior candidates at 50+ investment banks and consulting firms and assesses them through an in-depth quantitative and qualitative evaluation. Each fall it meets MBA students at schools including Harvard, Stanford and Wharton.

  2. Henkel

Junior means 0 to 3 years

Henkel Search Partners' junior registration is for 0 to 3 years of banking, consulting or buy-side experience, and it searches at junior (pre-MBA), mid and senior levels.

  3. Oxbridge

    Pre-MBA associates first

The Oxbridge Group's hiring levels start at Associate (pre-MBA), and its managing directors personally evaluate every candidate on background, track record and fit.

  4. Timing

    On-cycle runs fast

Firms and headhunters interview early and quickly, and the timing moved in 2025 and 2026. Our main guide tracks it.

How to position your consulting projects, our advice

Interviewers will ask about your projects. Here is how we suggest telling them so they sound like investing, not advising.

  • Lead with the investment question

Open with what the client had to decide, such as whether to buy a company or enter a market, not with the slides you made.

    Show what they listen for
    What interviewers listen for
Whether you see the decision behind the work.
  • Say what you would have done

End each project on your own call: would you have invested, at what price, and what would have changed your mind.

    Show what they listen for
    What a strong story shows
A clear yes or no with the two facts that drove it.
  • Translate into deal terms

Market size and growth become revenue in the model. Customer interviews become risk to the plan. Cost work becomes margin and cash flow.

  • Own your part

Say which analysis you built and what it showed, with a number. Team results told as yours get probed fast.

  • Have a reason to leave

Why own and run investments instead of advising on them, tied to a project that made you want it.

    Show what they listen for
    What interviewers listen for
A reason pulling you toward PE, not away from consulting.

The route from consulting to PE, step by step

Our own plan for a pre-MBA move, built on what the firms above publish. Exact timing changes every year, so check the on-cycle section of our main guide.

Show the six steps
  1. Year one

    Get on PE-heavy projects

Ask for commercial due diligence and portfolio work where your firm does it. Keep a private list of each project: the company, the question, your analysis and the answer.

    What PE consulting work is
  2. Year one, on your own

Learn the LBO from a blank sheet

Cases teach the business questions, not the buyout. Build sources and uses, debt paydown and returns until you can do it without notes.

An LBO model, worked throughA paper LBO by hand

  3. Before the calls

    Meet the headhunters

Register with the search firms that place consultants, with your resume and project list ready. CPI says it assesses candidates quantitatively and qualitatively from the first meeting.

From CPI and Henkel Search Partners.

  4. Round one

Fit, projects and a paper LBO

Why private equity, why leave consulting, a project told as an investment, and a quick buyout by hand.

    Free paper LBO practice
  5. Round two

    The modeling test

An LBO built in Excel from given assumptions, often timed. This is where consultants without banking training slip most.

    Modeling test formats
  6. Final round

The case study and deal discussion

A business to read, then whether to buy it and at what price. EQT says its process has about five stages mixing competency interviews with case or analytical exercises.

17 questions consultants get in PE interviews

Our own wording. Interviewers push consultants hardest on why they are leaving, what they did on a project and the LBO. Each has a note on what a strong answer does.

Why the move5 questions

Asked in every first round.

  1. Why private equity?

    What a strong answer does

Something you did on a project that made you want to own the outcome, not advise on it. Practice it, see a model answer

    • “Why not stay and make partner?”
    • “What would you miss about consulting?”
  2. Walk me through your background.

    What a strong answer does

Two minutes in order, each move explained, ending on why investing now. Practice it, see a model answer

  3. Why leave consulting now instead of after an MBA?

    What a strong answer does

What you would learn on a deal team in the next two years that you can't learn where you are.

    • “Do you plan to do an MBA later?”
  4. Why this firm?

    What a strong answer does

Its strategy and a deal or two of its own, tied to sectors you worked in. Practice it, see a model answer

  5. Where do you see yourself in five years?

    What a strong answer does

Investing, with the skills you want to have by then, honest about what you don't know yet. Practice it, see a model answer

Your projects5 questions

Where consultants win or lose the round.

  1. Walk me through a due diligence project you worked on.

    What a strong answer does

The client's question, the analysis you owned, what it found and how it changed the bid.

    • “What did the customer interviews tell you?”
    • “Did the client buy it?”
  2. Would you have invested in that company? Why?

    What a strong answer does

A clear yes or no, at what price, and the one risk that would change your mind.

    • “What would you pay?”
    • “What is the biggest risk?”
  3. Which of your projects was closest to an investment decision?

    What a strong answer does

One project framed as a buy or don't buy call, with the numbers that mattered.

  4. Tell me about a time the management plan didn't hold up.

    What a strong answer does

What the plan said, what your work showed and how you told the client.

    • “How did management react?”
  5. Tell me about a time you worked without clear direction.

    What a strong answer does

How you framed the problem yourself and checked in, with the result. Practice it, see a model answer

Deal judgment3 questions

Testing whether you think like an owner.

  1. A private equity firm is looking at a chain of dental clinics. How would you assess the deal?

    What a strong answer does

  2. What makes a company a good LBO candidate?

    What a strong answer does

Steady cash flow, room for debt, a fair price and a way out. Practice it, see a model answer

  3. How does a private equity firm exit an investment?

    What a strong answer does

Sale to a strategic, sale to another sponsor or an IPO, and what drives the choice. Practice it, see a model answer

LBO technicals4 questions

The gap most consultants have to close.

  1. Walk me through a basic LBO.

    What a strong answer does

Price, debt and equity, cash paying down debt, the exit and the return. Practice it, see a model answer

  3. What is the difference between IRR and MOIC?

    What a strong answer does

One counts time and one does not, with a number for each. Practice it, see a model answer

  4. How do you decide how much debt a company can support?

    What a strong answer does

Cash flow, interest cover and leverage multiples, checked against a bad year. Practice it, see a model answer

Mistakes consultants make

Mistakes consultants make in PE recruiting
  • Treating the paper LBO as optional

Strong cases don't carry a weak model. Build the LBO until it is quick before the first headhunter call.

  • Telling projects as slides

Lead with the decision and your call on it, not the deck you made.

  • Saying "we" all the way through

Say which analysis you built. Interviewers probe the parts you claim.

  • Breaking client confidentiality

Describe the sector and size, not the client's name or numbers.

  • Leaving the fit answers unpracticed

Why PE and why leave consulting come first in every round. Say them out loud until they come easily.

PE consulting: what consulting firms' PE practices do

For people searching "PE consulting" or "private equity consulting": the work strategy firms sell to PE investors, from each firm's own page, read October 27, 2026. Commercial due diligence is the core of it. McKinsey's page did not load for us that day, so it is not listed.

Questions people ask

Can you go from consulting to private equity?

Yes. EQT says many of its associates come from consulting, and CPI says it finds junior candidates at 50+ investment banks and consulting firms. Most consultants move as pre-MBA associates after a few years.

Is strategy consulting or banking better for getting into PE?

Banking is the more common route because on-cycle recruiting runs through banking analysts. Consulting is a named route at firms like EQT, and diligence experience is the edge. Consultants need to learn the LBO that bankers already know.

When should consultants start PE recruiting?

Pre-MBA on-cycle interviews can come early in your career and move fast, and the timing changed in 2025 and 2026. Meet headhunters with your resume and project list ready before it starts. Our main guide tracks the latest timing.

What do PE firms test consultants on?

Why private equity, your projects told as investments, a paper LBO, a modeling test and a case study on whether to buy a company. EQT says its process has about five stages mixing competency interviews with case or analytical exercises.

Do I need an MBA to move from consulting to PE?

No. Firms and headhunters recruit pre-MBA associates. MBA students recruit too: General Atlantic hires full-time MBAs as Vice Presidents, and CPI meets MBA students on campus each fall.

What is PE consulting?

Work consulting firms do for private equity investors: commercial due diligence before a deal, value creation plans for portfolio companies after it, and exit support. Bain, BCG, L.E.K., EY-Parthenon, Kearney and Oliver Wyman all describe this work on their own pages.

What is commercial due diligence?

EY-Parthenon defines it as a detailed analysis of a target company's market, customers and competitive position, with its growth potential and risks. L.E.K. adds customer and market interviews and a check on management's plan.

Does working in a PE practice help me get into PE?

In our view it gives you the best stories, because diligence is close to an investment decision. You still need to show you can model the deal yourself.
